1. Acceptance of Terms

Welcome to Assets by Lapine Studios! These Terms of Service ("Terms") govern your access to and use of the "Assets" software-as-a-service (SaaS) application ("Service"), provided by Lapine Studios, located in Brisbane, Queensland, Australia ("Lapine Studios," "we," "us," or "our").

By accessing or using the Service, you, and any entity you represent ("you," "your," "User"), agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. The Service

The Service is a virtual online asset register designed to help businesses manage their physical and digital assets. This includes, but is not limited to, creating asset labels, exporting asset registers, performing administrative tasks related to asset management, and maintaining compliance records.

Data Hosting: All data is hosted in SOC 2 compliant data centres within Australia and is subject to Australian data protection laws.

3. User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict or inhibit their use and enjoyment of the Service. You agree not to:

• Use the Service for any illegal purpose or to track assets unlawfully
• Register stolen, counterfeit, or illegally obtained assets
• Use the Service to facilitate money laundering, tax evasion, or other financial crimes
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorised access to the Service or its related systems or networks
• Upload, post, or transmit any content that is offensive, harmful, defamatory, or infringes on any intellectual property rights
• Use any automated system, such as "bots," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period, except where explicitly authorised through our API services
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use the Service to store or process highly sensitive, classified, or confidential information without implementing appropriate additional security measures
• Share account credentials or allow unauthorised third parties to access your account
• Violate any applicable export control or sanctions laws

4. Account and Security

To access the Service, you will be required to create an account. You are responsible for:

• Safeguarding your password and maintaining the confidentiality of your account credentials
• All activities that occur under your account, whether authorised or unauthorised
• Implementing appropriate internal controls and access management for your organisation
• Immediately notifying us of any unauthorised use of your account or security breach
• Ensuring all users within your organisation comply with these Terms

We reserve the right to require additional authentication measures for enhanced security.

6. Intellectual Property

The Service, including all intellectual property rights in the software, content, and trademarks, is the exclusive property of Lapine Studios. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes, as permitted by these Terms.

7. User-Generated Content and Data Ownership

Any data, information, or content you submit to the Service ("User Content") remains your property. By submitting User Content, you grant Lapine Studios a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display the User Content solely for the purpose of:

• Providing and improving the Service
• Ensuring system security and integrity
• Complying with legal obligations
• Providing customer support

8. Data Retention and Deletion

• We will retain your data for as long as your account remains active
• Upon account termination, we will delete your data within 30 days unless legally required to retain it longer
• You may request data export prior to termination
• We reserve the right to retain aggregated, anonymised usage statistics for service improvement

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LAPINE STUDIOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DATA LOSS. YOU ACKNOWLEDGE THAT DATA LOSS CAN OCCUR AND AGREE TO MAINTAIN APPROPRIATE BACKUPS OF CRITICAL INFORMATION.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LAPINE STUDIOS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES RESULTING FROM DATA LOSS, CORRUPTION, OR UNAUTHORISED ACCESS
• ANY DAMAGES ARISING FROM YOUR FAILURE TO MAINTAIN ADEQUATE DATA BACKUPS
• ANY DAMAGES RESULTING FROM THIRD-PARTY ACTIONS OR SECURITY BREACHES BEYOND OUR REASONABLE CONTROL

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Service Level and Availability

While we strive to maintain high availability, we do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where reasonably possible. We are not liable for service interruptions due to circumstances beyond our reasonable control.

12. Termination

12.1 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason including:

• Breach of these Terms
• Non-payment of fees
• Illegal use of the Service
• Conduct that may harm other users or our reputation
• Extended inactivity

12.2 Data Upon Termination

Upon termination for breach of Terms, we may immediately revoke access to all data. For other terminations, you will have 30 days to export your data before permanent deletion.

12.3 Survival

Provisions regarding intellectual property, limitations of liability, and governing law shall survive termination.

13. Compliance and Legal Requirements

You agree to comply with all applicable laws and regulations in your use of the Service, including but not limited to:

• Data protection and privacy laws
• Asset reporting and compliance requirements
• Export control and sanctions laws
• Anti-money laundering regulations

14. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will provide reasonable notice of material changes where practicable.

15. API Access and Automated Systems

15.1 API Services

We may, in our sole discretion, provide API access to certain features of the Service. API access is subject to:

• Separate API terms and conditions
• Rate limiting and usage quotas
• API key authentication and security requirements
• Additional fees as specified in our pricing

15.2 Authorised Automation

When using our API services, you may use automated systems, scripts, or applications to interact with the Service, provided that:

• You use only officially provided API endpoints
• You comply with all rate limits and usage restrictions
• You maintain the security and confidentiality of your API keys
• Your automated use complies with all other provisions of these Terms
• You do not attempt to circumvent API limitations through multiple accounts or keys

15.3 API Key Management

You are responsible for:

• Securing and protecting your API keys from unauthorised access
• Immediately revoking and replacing compromised API keys
• Monitoring and controlling all usage of your API keys
• All activities performed using your API keys, whether authorised or unauthorised

We reserve the right to suspend or revoke API access at any time for violations of these Terms or our API-specific terms.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia, for the resolution of any disputes arising out of these Terms or the use of the Service.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lapine Studios regarding the Service.

Amendment: We may update these Terms from time to time. Material changes will be communicated via email or through the Service.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We are not liable for any failure to perform due to circumstances beyond our reasonable control.
